Return & Refund Policy
Brother’s Venture Trading Corporation (BVTC) is committed to providing reliable products and responsive service. This Policy explains the circumstances and procedures applicable to returns, replacements, refunds, and related customer concerns for products supplied by BVTC.
This Policy applies together with the applicable quotation, purchase order, sales agreement, warranty, or other commercial terms governing a particular transaction. Nothing in this Policy is intended to limit any right or remedy that cannot lawfully be excluded or limited.
1. Scope and B2B Transactions
BVTC primarily serves institutional and business customers. For B2B transactions, returns, replacements, refunds, warranties, and related remedies are primarily governed by the applicable quotation, purchase order, supply agreement, service agreement, warranty, and other contractual terms, subject to applicable Philippine law.
Republic Act No. 11967 (Internet Transactions Act) applies to covered B2B and B2C internet transactions. Where a transaction is covered by mandatory consumer-protection or internet-transaction requirements, BVTC will comply with the rights and remedies required by applicable law.
2. When a Return or Replacement May Be Requested
A customer may contact BVTC when a delivered product is defective or damaged upon delivery; materially different from what was ordered; incomplete; non-conforming to agreed specifications; damaged due to handling or delivery attributable to BVTC or its designated delivery arrangements; or otherwise qualifies for a remedy under the applicable agreement, warranty, or Philippine law.
Where appropriate and legally permitted, BVTC may provide repair, replacement, refund, credit, re-delivery, correction, or another appropriate remedy. Where a particular remedy is mandatory under applicable law, BVTC will provide the remedy required by law.
3. Reporting a Product Concern
Customers should inspect deliveries upon receipt and report apparent discrepancies, damage, defects, or incorrect items as soon as reasonably practicable.

4. Evaluation of Return Requests
BVTC may evaluate the reported issue, product condition, purchase and delivery records, applicable warranty, quotation or commercial agreement, whether the issue occurred before or after delivery, whether the product was used, altered, damaged, or improperly stored after delivery, and other relevant circumstances. BVTC may request reasonable supporting documentation, inspection, or return of the product before determining the appropriate remedy.
5. Approved Returns
When BVTC approves a return, the customer will receive instructions. Unless otherwise agreed, returned products should be the actual products supplied by BVTC, properly packaged, accompanied by relevant documentation, and in a condition reasonably consistent with the approved return. If the return is required because of a defect, incorrect delivery, or other issue attributable to BVTC, BVTC will coordinate appropriate return arrangements.
6. Non-Returnable or Restricted Items
Subject to applicable law, certain products may not be eligible for return where the issue is not attributable to BVTC, including products improperly used; products damaged after delivery through improper handling, storage, or use; products altered by the customer; products returned without prior approval; products ordered according to customer-provided specifications and conforming to those specifications; and customized or personalized products subject to Section 7.
This section does not exclude any remedy required by applicable law.
7. Customized Products
Customized products, including personalized table napkins, coasters, printed materials, and products prepared according to customer specifications, require special consideration.
Customers are responsible for reviewing and approving artwork, logos, text, quantities, dimensions, colors, and other specifications before production. Once production has commenced, customized orders generally cannot be cancelled or returned because of a change of mind or customer preference if produced according to approved specifications.
If a customized product is materially defective, incorrectly produced, or does not conform to approved specifications, the customer may contact BVTC for evaluation and an appropriate remedy.
8. Refunds
Where a refund is required or approved, BVTC will determine and provide the applicable remedy in accordance with the governing transaction, applicable warranty, and Philippine law. Depending on the circumstances, the remedy may include a full refund, partial refund, replacement, product credit, or another lawful remedy.
Refunds will generally be processed using the original payment method where reasonably practicable. If the original payment method cannot reasonably be used, BVTC may coordinate an alternative lawful refund method with the customer.
9. Refund Processing Time
Once a refund has been approved and all required return or verification procedures have been completed, BVTC will initiate the refund within the period required by applicable law or, where no specific statutory period applies, within the period communicated to the customer upon approval. The time for funds to appear may depend on the payment provider, bank, card issuer, or other financial institution.
10. Delivery-Related Issues
Customers should notify BVTC as soon as reasonably practicable if products are damaged, lost, or otherwise affected during delivery. BVTC will evaluate delivery records, proof of delivery, product condition, applicable logistics arrangements, responsibility for delivery, insurance or carrier arrangements, and the applicable commercial agreement.
11. Customer-Initiated Returns
Returns requested solely because of a change of mind, ordering error, excess quantity, or other customer preference are not automatically entitled to a refund or replacement. Such returns are subject to BVTC approval and applicable commercial terms. Customized products are generally not returnable after production has commenced where they conform to approved specifications, except where a remedy is required by law or the product does not conform to those specifications.
12. No Waiver of Legal Rights
Nothing in this Policy waives or restricts any consumer right, warranty right, or other legal remedy that cannot lawfully be excluded or limited under Philippine law. Where applicable, the Consumer Act of the Philippines, the Internet Transactions Act, their implementing rules, and other applicable laws and regulations prevail over any inconsistent provision of this Policy.

Dispute Resolution Policy
Brother’s Venture Trading Corporation (BVTC) is committed to resolving customer concerns fairly, promptly, and professionally. This Policy establishes a process for addressing complaints, product concerns, delivery issues, payment concerns, and other disputes arising from transactions with BVTC.
The Policy is intended to support fair dealing, transparency, and accessible customer redress in accordance with applicable Philippine laws and regulations.
1. Our Commitment
BVTC believes most customer concerns can be resolved through direct communication and good-faith discussion. Customers are encouraged to contact BVTC first so that the concern can be understood, the relevant transaction reviewed, and an appropriate resolution considered.
2. Step 1 — Submit a Complaint to BVTC

BVTC may coordinate with suppliers, manufacturers, logistics providers, or internal departments where reasonably necessary.
4. Step 3 — Proposed Resolution
After reviewing the complaint, BVTC may propose an appropriate resolution based on the circumstances, applicable contractual terms, warranties, and Philippine law.

5. Internal Redress Period
For internet transactions covered by Republic Act No. 11967 (Internet Transactions Act), BVTC will maintain an accessible internal redress mechanism. Under Section 24 of the Act, an internal redress mechanism is deemed exhausted if the complaint remains unresolved after seven (7) calendar days from filing, subject to the Act and applicable implementing rules.
BVTC may continue working with the customer toward an amicable resolution after this period where appropriate. Nothing in this Policy prevents a customer from pursuing any remedy available under applicable law.
6. Good-Faith Resolution
BVTC and the customer are encouraged to communicate in good faith and provide accurate information reasonably necessary to resolve the dispute. Customers should allow BVTC a reasonable opportunity to investigate and respond before escalating the matter externally, except where applicable law provides otherwise.
7. Alternative Dispute Resolution
Where direct resolution is unsuccessful, the parties may mutually agree to an appropriate alternative dispute-resolution mechanism, including negotiation, mediation, conciliation, or arbitration where separately agreed and permitted by applicable law.
Any arbitration agreement must be separately agreed where required by law and applicable contractual arrangements. Nothing in this Policy creates a mandatory arbitration agreement.
8. Government and Regulatory Remedies
Nothing in this Policy prevents a customer from exercising any right or remedy available under Philippine law. Depending on the nature of the complaint, a customer may seek assistance from the appropriate Philippine government agency or pursue other lawful remedies.
For consumer complaints within the jurisdiction of the Department of Trade and Industry (DTI), the customer may use the applicable DTI complaint-handling mechanisms.
9. Data Privacy During Dispute Resolution
Information submitted during complaint and dispute-resolution processes may contain personal or business information. BVTC will process personal information only for legitimate purposes connected with investigating, responding to, and resolving the complaint, and for applicable legal, regulatory, contractual, or lawful business purposes. Personal information will be handled in accordance with the BVTC Privacy Policy and applicable Philippine data privacy laws.
10. Commercial and Contractual Disputes
For B2B transactions, the applicable quotation, purchase order, supply agreement, service agreement, or other written commercial agreement may contain additional dispute-resolution provisions. Where a valid contractual dispute-resolution provision exists, the parties shall follow the applicable contractual procedure, subject to Philippine law and mandatory legal rights and remedies.
11. Governing Law
This Policy and disputes relating to BVTC’s website and transactions shall be governed by applicable laws of the Republic of the Philippines. Nothing in this Policy is intended to restrict any mandatory legal remedy or jurisdiction provided under Philippine law.
